These terms apply when you use growwithkeri.net, book a call, or hire Grow With Keri. Grow With Keri is a retention marketing service run by Keri Omajene ("we", "us"). "You" or "Client" means the person or business using our site or services.
By booking a call, signing a proposal, or paying an invoice, you agree to these terms. If a signed proposal or contract says something different, the signed document wins.
We build and run retention systems for DTC brands. Depending on your plan, that covers pop-up forms, core and advanced flows, weekly campaigns, SMS, split testing, optimization and reporting. Your proposal lists the exact scope, plan and timeline.
Work outside the agreed scope is quoted separately before we start it.
To deliver on time, you agree to:
You have final approval on everything that sends. Once you approve it, you are responsible for its content.
Fees. Your proposal sets your plan, monthly fee and any one-time setup fee. All prices are in US dollars.
Payment. Work starts with no upfront payment. Your first invoice is sent on day 30 and is due within 7 days. After that, fees are billed every 30 days and are due within 7 days of each invoice. We accept PayPal and bank transfer through Raenest. If a payment is more than 7 days late, we may pause work until it is paid.
First 30 days. If you cancel in writing before day 30, you owe nothing for the first month. If you do not cancel, the day 30 invoice covers the first month and your plan continues.
Refunds. Fees for months already started are non-refundable, because the work and time are already committed.
Performance guarantee. Where your proposal includes it, we guarantee a 15% increase in your 30-day repurchase rate within the guarantee period. If we miss it, we keep working at no monthly fee until it is met. The guarantee applies only if:
Yours. Once you have paid in full, you own the final emails, SMS, flows, designs and copy we make for your brand. Your logos, product images and brand assets stay yours at all times.
Ours. We keep ownership of our frameworks, templates, processes, swipe files and know-how. You get a licence to use anything of ours built into your deliverables, for your own brand only.
Portfolio. We may show the work and general results in our portfolio, case studies and sales material. We will not share confidential numbers or customer data. Tell us in writing if you want to opt out or stay anonymous.
Both sides keep the other's private business information confidential. That includes revenue, customer data, strategy, pricing and logins. This duty lasts for 2 years after the engagement ends, and forever for customer data and passwords.
When we work with your customer data, we act as your processor under our Privacy Policy. We use it only to deliver your marketing, and remove our access when the engagement ends.
Results. Revenue depends on things we do not control, such as your product, pricing, stock, ads, site and market. Except for the written guarantee in section 3, we do not promise specific revenue or results. Past client results are examples, not promises.
Platforms. We are not responsible for outages, deliverability changes, policy changes or account suspensions caused by Klaviyo, Shopify, Meta, SMS carriers or any other third-party tool.
Liability cap. Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim. We are not liable for lost profits, lost data or indirect losses.
Indemnity. You agree to cover us against claims that come from content, claims or customer lists you supplied or approved, or from sending to people who did not consent.
Ending it. Monthly plans run month to month. Either side can end the agreement with 30 days' written notice. We can end it right away if an invoice is more than 14 days overdue, or if you ask us to do something illegal or misleading.
When it ends. You pay for work done up to the end date. We hand over anything you have paid for, and we remove our access to your accounts.
Website use. Do not copy content from growwithkeri.net or use it for anything illegal. We may update the site and these terms at any time. The date at the top shows the latest version.
Governing law. These terms are governed by the laws of the State of Delaware, United States. We will try to settle any dispute by talking first. If that fails, the state or federal courts in Delaware will decide it.
